Amy's areas of expertise include: municipal planning and zoning,
municipal governance, corporate governance, mergers and acquisitions, public
and private finance and contract negotiation and drafting. Her municipal and business
background is complimented by broad experience as a commercial litigator. Professional Background:
For the past ten years, Amy served as the Attorney for the Town of Clarkstown, New York, a municipality with a population of approximately 85,000. Accomplishments
during her tenure include: * Negotiated the sale of the Town’s solid waste transfer
station to the Rockland County Solid Waste Management Authority for $18 Million
(in addition to ongoing host-community fee). * Negotiated franchise agreements
with Verizon and Cablevision. * Completed a “cover
to cover” revision
of the Town’s code. * Participated in the adoption and implementation of the Town’s award winning
Comprehensive Plan. * Successfully represented the Town in PBA contract
arbitration. * Assisted the Supervisor in securing over $70 Million in
Federal, State, County and local grants. * Negotiated Power Purchase Agreement in
connection with the largest solar field on a capped landfill in New York
State. * Negotiated the sale of four (4)
cell tower leases resulting in $1.75M in revenue.
Prior to assuming the role of Town Attorney, Amy was responsible
for all purchasing and procurement in Town with $150 Million annual budget. In that role, she oversaw the preparation of all bid specifications, bid-letting processes and
post-bid agreements in several multi-million dollar public works projects. From 1998 to 2005, Amy served as the Executive Vice President, General Counsel an Corporate Secretary to Frontline Communications Corp. (AMEX:FNT), where she built and managed
in-house legal department for publicly traded Internet Service Provider. As a
member of the Executive Board reporting directly to the CEO, she participated in
all decision- making concerning the Company’s goals, strategies, operations and structure. Accomplishments include:
* Negotiated and closed over twenty corporate acquisitions, with direct
responsibility for all merger and acquisition agreements, SEC filings and due
diligence.
* Negotiated all third-party contracts on behalf of the Company,
including service contracts, real estate leases, consulting agreements,
marketing and advertising agreements. * Negotiated and drafted agreements and offering materials underlying a
$17 Million public offering of the Company’s preferred shares, and secured $5 Million in
private placement financing. Liaised with NASDAQ and AMEX with respect to
listing of the Company’s securities.
From 1997 to 1998, Amy was an associate with the New York branch of the international Firm Winston & Straw, where she led pre-trial discovery effort in
multi-billion dollar class-action securities fraud suit, arbitrated municipal
disputes before the American Arbitration Association and successfully represented
major banks in commercial disputes in New York State and Federal Courts at the
trial level and on appeal.
Amy began her career as a litigation associate at Podvey Meanor, P.C., where she was r esponsible
for complex commercial litigation conducted in New York and New Jersey State
and Federal Courts from pleading to appeal, including document discovery,
depositions, motions and trial, with an emphasis in commercial litigation,
insurance coverage disputes, employment law, telecommunications and
construction and bankruptcy litigation. There, she began her extensive appellate experience
including two successful Petitions for Certification to the New Jersey Supreme
Court as well as a Petition for Certiorari to the United States Supreme Court.
Amy is a 1993 Graduate of New York University School of Law and a 1990 magna cum laude graduate of the University of Delaware. She is a member of the New York and New Jersey Bars.
